POST-BACC authorizes you to view the Materials on the Websites only to obtain information regarding any services listed on the Websites, (1) to the extent the applicable functionality is made available to you from time-to-time, and (2) through the provided functionality of the applicable Website. This authorization is not a transfer of title in the Materials or copies of the Materials and is subject to the following restrictions: you may not modify the Materials in any way or reproduce or publicly display, perform, or distribute or otherwise use them for any public or commercial purpose. You agree to abide by all additional restrictions displayed on the Websites as they may be updated from time to time.
POST-BACC’s name, trademarks and logo and all related names, logos, product and/or service names, designs and slogans are trademarks of POST-BACC or its affiliates or licensors. You must not use such trademarks without the prior written permission of POST-BACC. All other names, logos, product and/or service names, designs and slogans on the Websites are the trademarks or property of their respective owners.
The Websites are protected by applicable copyright and other intellectual property laws, and no Materials or other content from the Websites may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way without our express permission. Copyright in the pages of the Websites, the code, text, graphical elements, and the material contained therein and in their arrangement is owned by POST-BACC and/or its affiliates, unless otherwise indicated. In addition, the materials and elements contained on the Websites, the design and the layout may not be copied, compiled, or distributed without the prior written consent of POST-BACC.
Intellectual Property Infringement Claims
We reserve the right share any notice of infringement and/or any response to a notice of infringement (including any personal information contained therein) with third parties (e.g., any user who posted the content to which you objected, any user who objected to your content, and with others).
We may terminate your use and access to the Websites if we believe that you are infringing the intellectual property rights of others or are aiding or threatening such infringement.
Use Restrictions/Prohibited Uses
You may access and use the Websites for lawful and authorized purposes only, and in no event in connection with competitive research or for scoping, benchmarking, developing, or providing any similar or competitive product and/or service. In addition, you may not exceed the scope of your authorized use of the Websites. You may not obtain or attempt to access or otherwise obtain any materials or information through any means not intentionally made available or provided for through the Websites. Additionally, you agree not to, without the prior written consent of POST-BACC, (1) use any Website in any manner that could disable, overburden, damage, or impair the operation of the Websites or interfere with any other party’s use of the Websites, including their ability to engage in real time activities through the Websites; (2) use any robot, spider or other automatic device, process or means to access any Website for any purpose, including monitoring or copying any of the material on the Website; (3) use any manual process to monitor or copy any of the material on any Website; (4) use any device, software or routine that interferes with the proper working of any Website; (5) use any data mining, web crawlers, robots, cancelbots, spiders, Trojan horses, or any data gathering or extraction method in connection with your use of any Website except for customary search engines used in accordance with automated instructions directed to search engines and available on the Website, (6) introduce any viruses, worms, logic bombs or other material which is malicious or technologically harmful; (7) attempt to gain unauthorized access to, interfere with, damage or disrupt any parts of any of the Websites, the server on which any of the Websites is stored, or any server, computer or database connected to any of the Website; (8) attack any Website via a denial-of-service attack or a distributed denial-of-service attack; (9) otherwise attempt to interfere with the proper working of any Website; or (10) for any other unauthorized purpose.

Links do not imply that POST-BACC sponsors, endorses, is affiliated or associated with, or is legally authorized to use any trademark, trade name, logo or copyright symbol displayed on or accessible through the links, or that any linked site is authorized to use any trademark, trade name, logo or copyright symbol of POST-BACC or any of its affiliates or subsidiaries.

All links to the Websites must be approved in writing by POST-BACC, except that POST-BACC consents to links in which: (1) the link is a text-only link containing only the name “POST BACC Program Guide”; (2) the link “points” only to www.postbaccprogramguide.com and not to deeper pages; (3) the link, when activated by a user, displays that page full-screen in a fully operable and navigable browser window and not within a “frame” on the linked website; and (4) the appearance, position, and other aspects of the link neither create the false appearance that an entity or its activities or products/services are associated with or sponsored by POST-BACC nor damage or dilute the goodwill associated with the name and trademarks of POST-BACC or its affiliates. You agree to cooperate with POST-BACC in causing any unauthorized framing or linking immediately to cease. POST-BACC reserves the right to revoke this consent to link at any time in its sole discretion.

By providing any such User Suggestions to POST-BACC, you grant to POST-BACC an unrestricted, irrevocable, worldwide, royalty-free license to use, reproduce, display, publicly perform, transmit and distribute such User Suggestions, and you further agree that POST-BACC is free to use any ideas, concepts or know-how that you or individuals acting on your behalf provide to POST-BACC. You represent and warrant that you own or control all rights in and to the User Suggestions and have the right to grant the license granted above to POST-BACC and its licensees, successors and assigns. You understand and acknowledge that you are responsible for any User Suggestions you submit or contribute, and you, not POST-BACC, have full responsibility for such content, including its legality, reliability, accuracy and appropriateness. You further recognize that POST-BACC does not want you to, and you warrant that you shall not, provide any information or materials to POST-BACC that is defamatory, threatening, obscene, harassing, or otherwise unlawful, or that incorporates the proprietary material of another.
Limitations of Damages
THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
POST-BACC may terminate, change, suspend or discontinue any aspect of any Website (including the availability of any features of any Website) at any time. POST-BACC will not be liable if for any reason all or any part of any Website is unavailable at any time or for any period. POST-BACC may also impose limits on certain features and services or restrict your access to parts or all of the Websites without notice or liability.
Termination of License Grant
POST-BACC may, in its sole discretion, terminate or suspend a user’s right to access and use any or all of the Websites, at any time, with or without notice and for any reason (or no reason). Any termination by us shall be effective on the date specified in such notice or, if no date is provided, shall be effective immediately. You agree that, if your license to access and use any Website is terminated, you will not thereafter enter, or attempt to enter, the Website, directly or indirectly, and if your right to access and use any Website is suspended, you will not thereafter enter, or attempt to enter, the Website, directly or indirectly, until your suspension is removed and POST-BACC gives you express notice thereof.
Each Website is controlled, operated and administered by POST-BACC from its offices within the United States of America. POST-BACC makes no representation that materials on any Website are appropriate or available for use at other locations outside of the United States and access to them from territories where their contents are illegal is prohibited. You may not use any Website or export the Materials in violation of United States export laws and regulations. If you access any Website from a location outside of the United States, you are responsible for compliance with all local laws.
Choice of Law & Arbitration
PLEASE READ THIS SECTION CAREFULLY – IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS.
Arbitration shall take place in St. Louis City, Missouri. Any arbitration will be conducted by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules in effect at the time of the arbitration to the extent such rules are not inconsistent with this Agreement (the “Rules”). Arbitration will be conducted by a single independent and impartial arbitrator selected from the AAA’s panel of neutrals. The arbitrator will determine issues of arbitrability in the first instance but may not limit, expand or otherwise modify the terms of this Agreement. Without limiting the foregoing, the arbitrator will not have the power to award damages (other than actual compensatory damages) in excess of the limitations set forth in the Limitation of Damages section of this Agreement, and will not award any damages that are specifically excluded under this Agreement. The arbitral award will be in writing, state the reasons for the award, and will be final and binding upon the parties. The arbitration and award will be kept strictly confidential (except to the extent required by law or in connection with proceedings to enforce such award). The arbitrator is not bound by decisions reached in separate arbitrations, and the arbitrator’s decision shall be binding only upon the parties to the arbitration that are the subject of the decision. Judgment on the award may be entered by any court of competent jurisdiction. The parties agree to participate in the arbitration in good faith.
The party asserting the dispute (the “Petitioner”) shall indicate an intent to commence arbitration hereunder by giving written notice of such intent to the other party (the “Respondent”).
If the Petitioner and Respondent are unable to resolve the dispute within 15 days following the receipt by the Respondent of the above notice, arbitration shall commence upon the delivery by the Petitioner to the Respondent of a petition complying with the Rules and setting forth at a minimum (1) the acts or omissions complained of and (2) the relief sought. The Respondent shall respond to such petition in conformity with the Rules and a counterclaim shall be permitted if timely filed and served.
The Petitioner and Respondent may provide any instructions to the arbitrator which deviate from such Rules as the Petitioner and Respondent may mutually agree in writing. Unless the Petitioner and Respondent mutually agree otherwise in writing, they shall have the right to conduct discovery in any manner and to the extent authorized by the Federal Rules of Civil Procedure as interpreted by the Federal courts in the Eastern District of Missouri.
If the Petitioner and Respondent are able to agree upon a single arbitrator within 10 days following commencement of the arbitration, such individual shall serve as the arbitrator. If the parties cannot mutually agree upon the selection of an arbitrator within 10 days following commencement of the arbitration, the arbitrator shall be selected in accordance with the Rules then in effect.
Judgment upon an award in arbitration may be entered in any court of competent jurisdiction in the United States.
Class Action Waiver / Venue / Jury Trial Waiver
PLEASE READ THIS SECTION CAREFULLY – IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS.
Neither the arbitrator nor the AAA shall have any authority to hear, arbitrate, or administer any mass action (including instances in which POST-BACC or you are represented by a law firm or collection of law firms that has filed 50 or more arbitration demands of a substantially similar nature against the other party within 180 days of the arbitration demand filed on POST-BACC’s or your behalf, and the law firm or collection of law firms seeks to simultaneously or collectively administer and/or arbitrate all the arbitration demands in the aggregate) or to award relief to any person but the individual parties to a single arbitration.
If any court or arbitrator determines that the preceding waiver is void or unenforceable or that arbitration can proceed on a class basis, then the dispute or claim will not be subject to arbitration.
For any dispute or claim that is not subject to arbitration, you consent to exclusive jurisdiction and venue in the federal courts sitting in the Eastern District of Missouri, unless no federal subject matter jurisdiction exists, in which case you consent to exclusive jurisdiction and venue in the state courts sitting in St. Louis City, Missouri. You hereby irrevocably waive, to the fullest extent permitted by applicable law, any objection which you may now or hereafter have to the laying of venue of any such proceeding brought in such a court and any claim that any such proceeding brought in such a court has been brought in an inconvenient forum.
Relationship of the Parties
Limitation on Time to File Claims.
Any cause of action you may have with respect to your use of any Website must be commenced within one year after the claim or cause of action arises otherwise such cause of action is permanently barred.
